These Terms of Service ("Terms") govern your access to and use of Talotrace (the "Service"), operated by Growtrics Pte. Ltd. ("Talotrace", "we", "us", or "our"). By accessing or using the Service, or by agreeing to these Terms on behalf of a company, you agree to be bound by these Terms.
By creating an account or using any part of the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.
You are responsible for activity under your account and for keeping your credentials secure. You agree to provide accurate information and to notify us promptly of any unauthorised use. The Service is intended for business use by users who can form a binding contract.
Talotrace provides AI-powered testing of software you authorise us to test. You are responsible for ensuring you have the right to submit any application, data, or credentials to the Service, and for any third-party terms that apply to the systems you ask us to test.
You retain all rights to the applications, data, and materials you provide ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide the Service. We process Customer Data in accordance with our Privacy Policy.
You agree not to use the Service to test systems you are not authorised to test, to violate any law, to infringe others' rights, to attempt to disrupt or reverse-engineer the Service, or to resell the Service without our consent.
The Service, including its software, models, and content (excluding Customer Data), is owned by Talotrace and its licensors. These Terms do not grant you any rights in the Service except the limited right to use it as permitted here.
Pricing is provided on a per-engagement basis. Fees, billing terms, and any trial arrangements will be set out in a separate order or quote agreed between you and Talotrace.
Each party may receive confidential information from the other. Each party agrees to protect the other's confidential information and to use it only as needed to perform under these Terms.
The Service is provided "as is". To the maximum extent permitted by law, we disclaim all warranties, express or implied. Talotrace assists with quality assurance but does not guarantee that all defects will be found or that software is error-free.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages, and our total liability arising out of the Service will not exceed the amounts paid by you for the Service in the twelve months preceding the claim.
Either party may terminate as set out in the applicable order. On termination, your right to use the Service ends and we will delete or return Customer Data in accordance with our Privacy Policy.
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles, and the courts of Singapore have exclusive jurisdiction over any dispute.
